Applies to AI Fashion Week (aifashionweek.ai) and Plutopal (plutopal.ai).

1. Definitions

In these Legal Terms, the following capitalized terms have the meanings set forth below.

"Company", "we", "us", "our"
— Plutopal Cloud Services Corporation, a Delaware corporation with principal office in Santa Clara, California.
"Platform"
— the websites, applications, and services operated by us under the AI Fashion Week and Plutopal brands, including aifashionweek.ai, plutopal.ai, and api.aifashionweek.ai.
"Services"
— the products, features, and functionality made available through the Platform.
"User", "you"
— any individual or entity accessing or using the Services.
"Shopper"
— a User who browses or purchases products through the Platform.
"Seller"
— a User (designer, brand, or merchant) who lists products for sale through the Platform.
"Model"
— a User who posts modeling content (photos, videos, styling posts) through the Platform.
"Content"
— text, photos, videos, product listings, comments, messages, and other material uploaded to the Platform by any User.
"Stripe"
— Stripe, Inc., our third-party payment processor. Stripe processes all transactions on the Platform under the Stripe Services Agreement (stripe.com/legal) and, for Sellers, the Stripe Connected Account Agreement (stripe.com/connect-account/legal).
"Marketplace Facilitator"
— a party that operates a marketplace and facilitates sales between third-party Sellers and Shoppers, without itself being the merchant of record for those sales.

2. About Us + Marketplace Disclosure

Legal entity. AI Fashion Week and Plutopal are products of Plutopal Cloud Services Corporation, a Delaware C-corporation, with principal office in Santa Clara, California, USA.

Marketplace facilitator. The Platform operates as a Marketplace Facilitator. For products listed by Sellers, we facilitate the transaction between the Seller and the Shopper. We are not the seller or merchant of record for third-party Seller products. The Seller retains title to the goods until delivered to the Shopper, sets the price, is responsible for the accuracy of the product description, fulfills the order, handles returns per its stated policy, and bears the risk of loss during shipping.

Some products may be sold directly by us. Products marked "Sold by AIFW" or "Sold by Plutopal" (as opposed to a Seller name) are sold directly by us; for those, we are the merchant of record.

Two brands, one entity. AIFW ("Shop the Runway Live") and Plutopal ("Shop Smart. Shop Social.") are separate consumer brands operated by the same legal entity and governed by these single Legal Terms. Your account works across both.

3. Acceptance & Eligibility

By accessing or using the Services, you agree to be bound by these Legal Terms. If you do not agree, do not use the Services.

Age. You must be at least 13 years old to use the Services. Users between 13 and 17 require the consent of a parent or legal guardian to make purchases. The Services are not directed to children under 13, and we do not knowingly collect personal information from children under 13. If we learn we have, we will delete it.

Authority. If you use the Services on behalf of an entity (a Seller organization, an agency, etc.), you represent that you have authority to bind that entity to these Legal Terms.

Sanctions. You represent that you are not located in a country subject to comprehensive United States trade sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), and that you are not on any list of prohibited or restricted parties maintained by the United States Office of Foreign Assets Control ("OFAC"), the European Union, the United Kingdom, or comparable authorities. Use of the Services is void where prohibited.

4. Account Creation

To place orders, list products, post as a Model, or use certain features, you must create an account. Accounts are created via one-time-passcode ("OTP") verification of your email address (or, optionally, phone number).

Accurate information. You agree to provide accurate, current, and complete information and to update it as needed.

Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us at support@plutopal.ai immediately if you suspect unauthorized access.

Roles. Your account may have one or more of the following roles: Shopper (default), Seller (designer/brand/merchant), Model, or Administrator (internal only). Additional terms apply to Seller and Model roles (Sections 7 and 8 below).

Termination. You may close your account at any time from your Settings page or by emailing support@plutopal.ai. We may suspend or terminate accounts that violate these Legal Terms.

5. Privacy Policy

This Section 5 describes how we collect, use, and share personal information.

5.1 Information we collect

  • Account information — email address, display name, username, avatar (optional).
  • Contact information — phone number (only when you provide it for SMS notifications or shipping).
  • Purchase information — shipping address, billing information, order history. Payment card details are collected directly by Stripe and are never stored on our systems.
  • Seller / KYC information — legal name, date of birth, tax identification number, business registration, and bank details, collected by Stripe for Know-Your-Customer and anti-money-laundering compliance.
  • Content you upload — product listings, model posts, comments, messages, uploaded images.
  • Usage information — pages viewed, products interacted with, search queries, device type, IP address, browser type.
  • Communications — messages sent via Beaming (group chat) or Jini (AI stylist chat).
  • Cookies and similar technologies — session cookies, brand-preference cookies, and privacy-friendly analytics cookies.

5.2 How we use it

  • Provide, maintain, and improve the Services
  • Process transactions and deliver purchased products
  • Verify Seller identity and comply with anti-money-laundering and sanctions laws
  • Send transactional emails (order confirmations, shipping updates, account notifications) — these are essential and not opt-outable while your account is active
  • Send SMS updates only if you have explicitly opted in (Section 10)
  • Personalize your Feed and Jini AI product recommendations
  • Detect, investigate, and prevent fraud, abuse, and security incidents
  • Comply with legal obligations (tax reporting, subpoenas, court orders)
  • Enforce our Legal Terms

5.3 How we share it

We do not sell your personal information. We share it only with:

  • Service providers under contract who process data on our behalf: Stripe (payments and Seller KYC), Postmark (transactional email), Twilio (SMS), Vercel (frontend hosting), Cloudinary (image storage and delivery), Amazon Web Services (cloud infrastructure), MongoDB Atlas (database), Anthropic (Jini AI stylist), Pinecone (vector search for product recommendations), GetStream (real-time chat).
  • Sellers — when you place an order with a Seller, we share the shipping address and order details necessary for fulfillment.
  • Legal authorities — when required by valid legal process, or when necessary to protect our rights, property, safety, or that of Users.
  • Business transfers — if we are acquired, merged, or reorganize, the successor entity will inherit these obligations.
  • With your consent — for any other purpose disclosed to you and agreed by you.

5.4 Cookies and tracking

We use essential cookies to keep you signed in, remember your brand preference (AIFW vs Plutopal), and maintain cart state. We use privacy-friendly analytics (Vercel Analytics) that do not track individuals across sites. We do not use advertising cookies or third-party tracking pixels.

5.5 Data retention

We retain personal information as long as necessary for the purposes described in this Privacy Policy: (i) account information while your account is active plus 30 days after deletion; (ii) purchase records for six (6) years for tax and accounting purposes; (iii) Seller KYC records as required by Stripe and applicable financial regulations (typically seven years). You may request deletion of information not subject to retention obligations by emailing support@plutopal.ai.

5.6 Your rights

Depending on where you live, you may have rights to:

  • Access the personal information we hold about you
  • Correct inaccurate information
  • Delete your account and personal information (subject to retention requirements)
  • Export your data in a portable format
  • Object to certain processing
  • Withdraw consent for SMS or marketing communications at any time
  • Lodge a complaint with a supervisory authority

5.7 California residents (CCPA/CPRA)

California residents have the specific right to know what personal information we collect, to request deletion, and to opt out of any "sale" or "sharing" of personal information. We do not sell or share personal information as those terms are defined by the CCPA. Requests: support@plutopal.ai. We do not discriminate against you for exercising your rights.

5.8 European users (GDPR / UK GDPR)

We process personal data based on: (a) contract when providing Services you have requested; (b) legitimate interest for fraud prevention and Service improvement; (c) consent for marketing and SMS communications; and (d) legal obligation for tax and financial records. You have the right to lodge a complaint with your local supervisory authority.

5.9 International data transfers

Our servers are located in the United States. If you are outside the United States, your data will be transferred to and processed in the United States and other jurisdictions where our service providers operate. We rely on Standard Contractual Clauses and other lawful mechanisms for transfers where required.

5.10 Security

We use industry-standard security measures including TLS encryption in transit, encrypted storage, bcrypt password hashing, AWS Secrets Manager for keys, and regular security reviews. No method of internet transmission or electronic storage is 100% secure.

6. General Terms of Service

License. Subject to your compliance with these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use — except that Sellers and Models may use the Services for their commercial listing and posting activities as expressly permitted.

Prohibited conduct. You may not, and may not attempt to:

  • Violate any applicable law, regulation, or third-party right
  • Impersonate any person or misrepresent your identity or affiliation
  • Post Content that infringes intellectual property rights
  • Post Content that is harassing, threatening, hateful, defamatory, or sexually explicit
  • Post Content that promotes violence, self-harm, or illegal activities
  • Attempt to gain unauthorized access to any system, account, or data
  • Use bots, scrapers, or other automated tools without our written permission
  • Reverse-engineer, decompile, or attempt to derive source code
  • Interfere with the security or integrity of the Services
  • Sell counterfeit goods, misrepresent product origin, materials, or authenticity
  • Engage in market manipulation, wash-trading, or self-dealing
  • Circumvent commission or fee structures
  • Use the Services in a manner that could damage or overburden them

Your Content and license grant. You retain ownership of Content you upload. By posting Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to display, distribute, promote, and prepare derivative works of your Content within the Services and in marketing about the Services (including social media). You represent that you have all rights necessary to grant this license. This license survives termination of your account with respect to Content that has been shared or purchased by other Users.

Electronic communications. By using the Services, you consent to receive communications from us electronically. Legal notices from us satisfy any requirement that they be in writing if delivered by email to the address on your account.

Modifications to Services. We may modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice for changes that materially and adversely affect you.

Fees for Shoppers. Use of the Services as a Shopper is currently free. You pay only for products purchased (plus tax and shipping as shown at checkout).

7. Seller Terms (Marketplace)

Sections 7 and 8 apply if you list products for sale on the Platform. By listing products, you agree to these Seller Terms in addition to the general Legal Terms.

7.1 Eligibility

You represent that: (a) you are at least 18 years old (or 13-17 with verified parental consent) or an authorized representative of a business; (b) you have the legal right to sell the products you list; (c) you have completed KYC verification via Stripe; (d) you are not located in a sanctioned jurisdiction and are not a Restricted Party (Section 3); (e) your business does not fall into a Prohibited Business category (Section 9).

7.2 Product listings

  • Descriptions and images must accurately represent the product's material, origin, dimensions, condition, and authenticity
  • You may only list products you own or have authority to sell
  • Product images must be your own or licensed for commercial use
  • You must comply with applicable labeling, safety, and disclosure requirements (including textile labeling laws)
  • You are responsible for compliance with import/export laws for cross-border sales

7.3 Order fulfillment

  • Ship orders within five (5) business days of receipt unless otherwise disclosed on the listing
  • Provide tracking information when available
  • Handle customer service inquiries related to your products in a timely manner (respond within 48 hours)
  • Honor your stated return policy in good faith

7.4 Returns and refunds

You set your own return policy, which must be clearly disclosed on each product listing. Unless a more generous policy is stated, you must accept returns for defective products or products materially different from their description within fourteen (14) days of delivery. Refund disputes are handled through Stripe's dispute process.

7.5 Platform commission

Unless otherwise agreed in writing, we charge a platform commission of fifteen percent (15%) of the sale price (excluding tax and shipping). This commission is automatically deducted at time of payout by Stripe. Additional Stripe processing fees also apply and are borne by you.

7.6 Taxes

You are responsible for determining, collecting, remitting, and reporting all sales, use, VAT, GST, and other taxes on your transactions. Where required by law, we or Stripe may collect and remit certain marketplace taxes on your behalf; we will disclose this at checkout when applicable.

7.7 Our rights over listings

  • We may reject, edit, remove, or delist any product at our discretion
  • We may suspend Seller accounts for violations of these Legal Terms, Stripe policies, or applicable law
  • We may withhold or reverse payouts pending investigation of fraud, chargebacks, or compliance issues

7.8 Independent contractor

You are an independent contractor and not an employee, partner, or joint-venturer of the Company. Nothing in these Legal Terms creates any agency, employment, or partnership relationship.

8. Payment Processing (Stripe Connect)

Payment processor. All payments on the Platform are processed by Stripe. Card and bank account information is collected directly by Stripe using PCI-DSS-compliant methods. We never see or store your full payment card number.

8.1 Agreements you enter with Stripe

  • By using the Services, all Users agree to be bound by the Stripe Consumer Services Agreement.
  • By listing products as a Seller and receiving payouts, you additionally agree to the Stripe Connected Account Agreement, which is between you and Stripe. Neither we nor Stripe are a party to your listing contract with a Shopper.
  • By providing bank account or debit-card payout details, you authorize Stripe to make ACH, wire, or debit transfers to that account.

8.2 KYC and identity verification

Stripe is required by law to verify the identity of Sellers who receive payouts. You agree to provide, and to keep current, all requested identity documents (government-issued ID, tax ID, proof of address, beneficial ownership information for entities). Failure to complete verification will result in payout holds and may result in account termination.

8.3 Payout schedule

Payouts are made by Stripe on a rolling schedule (typically 2-7 business days after a transaction clears, depending on your country and account history). Faster payouts may be available for a fee. Payout timing is controlled by Stripe and may change based on risk assessment.

8.4 Chargebacks and disputes

If a Shopper files a chargeback or dispute:

  • Stripe will notify the Seller and request evidence to contest the dispute
  • The Seller is responsible for gathering and submitting evidence within Stripe's deadline
  • If the dispute is lost, the disputed amount plus any Stripe chargeback fee is deducted from the Seller's balance or debited from the Seller's bank account
  • Repeated chargebacks may result in payout holds, reserve requirements, or account termination

8.5 Refunds

Sellers may issue full or partial refunds through the Platform. Refunds return funds to the original payment method. Platform commission on the refunded portion is returned to the Seller; Stripe processing fees may or may not be refunded depending on the card network.

8.6 Currency and taxes

Prices are shown in the currency of the Seller's listing (typically USD). Stripe handles currency conversion for cross-border transactions at prevailing rates plus a conversion fee. Sellers are responsible for tax collection as described in Section 7.6.

8.7 Right to hold funds

We and Stripe may hold, freeze, or reverse funds in a Seller's balance, or debit a Seller's linked bank account, at any time and without prior notice if we or Stripe reasonably believe: (a) fraud, chargebacks, or illegal activity; (b) violation of these Legal Terms or of Stripe's terms; (c) risk of financial loss to us, Stripe, or Users; (d) legal requirement (subpoena, court order, sanctions match); or (e) suspected KYC or AML issues. Funds may be held pending investigation for up to 180 days or longer if required by law.

8.8 Sanctions compliance

All transactions on the Platform are screened against OFAC, EU, UK, and other applicable sanctions lists. Transactions involving sanctioned parties or jurisdictions will be blocked and reported to authorities as required by law.

9. Prohibited Content & Businesses

The following categories of Content and businesses are prohibited on the Platform. This list mirrors and expands upon Stripe's Restricted Business list; changes to Stripe's list are automatically incorporated.

9.1 Prohibited Content

  • Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, pornographic, or hateful
  • Content depicting minors in sexual or exploitative contexts (zero tolerance; reported to NCMEC)
  • Content promoting violence, terrorism, self-harm, or eating disorders
  • Content that infringes any patent, trademark, trade secret, copyright, or other proprietary right
  • Content that impersonates any person or entity
  • Unsolicited advertising, promotional materials, spam, chain letters, or pyramid schemes
  • Deepfakes or synthetic media depicting real people without consent
  • Personal information about others without consent

9.2 Prohibited Businesses

  • Adult content, escort services, or sexually explicit material
  • Firearms, ammunition, weapons, explosives, or components thereof
  • Illegal drugs, drug paraphernalia, or unregulated pharmaceuticals
  • Cannabis products (except in fully compliant jurisdictions with prior written approval)
  • Counterfeit or unauthorized replica goods
  • Stolen goods
  • Products that infringe intellectual property rights
  • Endangered species, protected wildlife products (ivory, tortoiseshell, etc.)
  • Human trafficking, forced labor, or exploitation of any kind
  • Gambling, sweepstakes, or games of chance (except licensed)
  • Multi-level marketing schemes
  • Get-rich-quick or high-yield investment programs
  • Cryptocurrency exchanges or ICOs
  • Any activity requiring a license we do not hold or you cannot verify holding
  • Any business Stripe designates as Restricted or Prohibited

We reserve the right to determine at our sole discretion whether any product or business falls into a Prohibited category.

10. SMS Messaging Terms

This Section 10 satisfies Twilio's toll-free SMS consent requirements (opt-in disclosure per SMS reason code 30513).

10.1 Sender

AI Fashion Week (a product of Plutopal Cloud Services Corporation) sends SMS messages from +1-833-603-2433 via Twilio, Inc.

10.2 Consent required

You will only receive SMS from us if you have explicitly opted in by checking the SMS consent box while:

  • Registering for a live event (such as AIFW Rome)
  • Placing an order and selecting SMS shipping updates
  • Signing up for livestream go-live notifications
  • Enrolling in SMS-based two-factor authentication

10.3 Message content

  • Event registration confirmations and reminders
  • Livestream "going live" alerts (only for events you registered for)
  • Order shipping and delivery notifications
  • Account verification codes

We do not send marketing or promotional messages via SMS unless you separately opt in.

10.4 Sample messages

  • "AIFW: Your Rome RSVP is confirmed for July 2, 7pm at SATYRUS. Reply STOP to opt out."
  • "AIFW: The runway goes live in 15 min. Watch: aifashionweek.ai/live. STOP to opt out."
  • "AIFW: Your order #A1234 shipped via FedEx. Track: [link]. STOP to opt out."

10.5 Frequency

Typically one to five messages per event or per order. Total volume depends on the number of events you register for.

10.6 Costs

Message and data rates may apply. Please check with your mobile carrier. AI Fashion Week does not charge for SMS.

10.7 Opt out

Reply STOP to any message we send. You will be immediately unsubscribed and receive a confirmation. You may also opt out at any time by emailing support@plutopal.ai. After opting out you may re-subscribe by registering for a new event and re-checking the consent box.

10.8 Help

Reply HELP for contact information, or email support@plutopal.ai.

10.9 Carrier disclaimer

Message delivery depends on your mobile carrier's network. Neither AIFW nor Twilio is liable for delayed or undelivered messages.

10.10 Consent record

When you opt in, we record the date, time, IP address, and specific consent language you agreed to. These records are retained for compliance audit purposes.

11. Intellectual Property

Our IP. The AIFW and Plutopal names, logos, wordmarks, product designs, software, and all associated intellectual property are and remain our property or that of our licensors. Nothing in these Legal Terms grants you any right, title, or interest in our intellectual property except the limited license in Section 6.

Your IP. As stated in Section 6, you retain ownership of Content you upload and grant us the license described therein.

Third-party trademarks. Trademarks of third parties (Stripe, Twilio, AWS, Cloudinary, MongoDB, Vercel, Anthropic, etc.) appearing on the Platform are the property of their respective owners.

Feedback. If you provide feedback, ideas, or suggestions about the Services ("Feedback"), you grant us an unrestricted, perpetual, royalty-free, worldwide license to use, modify, and incorporate that Feedback without obligation to you.

12. DMCA / Copyright Takedown

We respect intellectual property rights and respond to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act ("DMCA").

12.1 Filing a takedown notice

If you believe your copyrighted work has been used on the Platform in a way that constitutes infringement, send a written notice to our Designated Agent at support@plutopal.ai including all of the following:

  1. A physical or electronic signature of the copyright owner or authorized agent
  2. Identification of the copyrighted work claimed to have been infringed
  3. Identification of the material claimed to be infringing, with a URL or other means for us to locate it
  4. Your contact information (address, phone, email)
  5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law
  6. A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner

12.2 Counter-notification

If you believe your Content was removed by mistake or misidentification, you may submit a counter-notice containing the elements required by 17 U.S.C. § 512(g)(3). Send to support@plutopal.ai.

12.3 Repeat infringers

We will terminate the accounts of Users who are repeat infringers of copyright.

12.4 Designated Agent

Our Designated Agent for DMCA notices is: Legal Department, Plutopal Cloud Services Corporation, Santa Clara, CA. Email: support@plutopal.ai.

13. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS", "AS AVAILABLE", AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that: (a) the Services will meet your requirements; (b) the Services will be uninterrupted, timely, secure, or error-free; (c) any information obtained through the Services will be accurate or reliable; (d) defects will be corrected; (e) the Services or any server on which they are hosted are free of viruses or other harmful components.

Third-party content. We do not warrant the accuracy, quality, safety, or legality of products, listings, models' posts, or any other Content provided by Users, including Sellers. Transactions with Sellers are between you and the Seller.

AI recommendations. Jini AI stylist recommendations are automated suggestions and are not professional styling, fashion, or purchasing advice. Use your own judgment.

Third-party links. The Services may contain links to third-party websites. We are not responsible for the content, privacy practices, or availability of such sites.

14. Limitation of Liability & Indemnification

14.1 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT WILL PLUTOPAL CLOUD SERVICES CORPORATION, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of implied warranties or the limitation of liability for consequential damages, so these limitations may not apply to you in full.

14.2 Indemnification

You agree to indemnify, defend, and hold harmless Plutopal Cloud Services Corporation, its affiliates, officers, directors, employees, and agents from and against all claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your Content; (c) your violation of these Legal Terms; (d) your violation of any third-party right (including intellectual property, privacy, or publicity rights); (e) for Sellers, any claims by a Shopper concerning your products; (f) any misrepresentation made by you.

We reserve the right, at our own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification. You agree to cooperate with our defense.

15. Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH US ON AN INDIVIDUAL BASIS AND WAIVES YOUR RIGHT TO A JURY TRIAL AND CLASS ACTIONS.

15.1 Binding arbitration

Any dispute, claim, or controversy arising out of or relating to these Legal Terms or the Services (a "Dispute") will be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

15.2 Arbitration rules and forum

Arbitration will be administered by JAMS pursuant to its Streamlined Arbitration Rules, or if a claim exceeds $250,000, its Comprehensive Arbitration Rules. Rules are available at jamsadr.com. Arbitration will be conducted in Santa Clara County, California, or by videoconference. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

15.3 Individual basis only — class action waiver

YOU AND WE AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. NEITHER YOU NOR WE WILL PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION FOR ANY DISPUTES COVERED BY THIS SECTION 15.

15.4 30-day opt out

You may opt out of this Section 15 by emailing support@plutopal.ai with the subject line "Arbitration Opt-Out" within thirty (30) days of first accepting these Legal Terms. Your opt-out must include your full name, mailing address, and a clear statement that you are opting out. Opting out does not affect any other provision of these Legal Terms.

15.5 Costs

Each party will bear its own attorneys' fees and costs of arbitration, except that we will pay all JAMS filing and administrative fees for claims that would cost less than $10,000 to file in court, if the claim is not frivolous.

15.6 Exceptions

Notwithstanding the above, either party may bring: (a) an action in small claims court for qualifying claims; (b) an action seeking injunctive or equitable relief for infringement of intellectual property rights.

15.7 Severability

If any portion of this Section 15 is found unenforceable, the remainder will remain in effect, and the unenforceable portion will be severed to the minimum extent required.

16. General Provisions

16.1 Governing law

These Legal Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16.2 Venue

Subject to Section 15 (Arbitration), any judicial action arising from these Legal Terms will be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to personal jurisdiction there.

16.3 Entire agreement

These Legal Terms, together with any policies referenced herein and any additional agreements between you and third parties like Stripe or Twilio, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements.

16.4 Severability

If any provision of these Legal Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

16.5 Waiver

No failure or delay by either party in exercising any right under these Legal Terms will operate as a waiver of that right.

16.6 Assignment

You may not assign these Legal Terms without our prior written consent. We may assign these Legal Terms without notice, including to a successor entity in connection with a merger, acquisition, or sale of assets.

16.7 Force majeure

Neither party will be liable for delays or failures in performance caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, epidemic, government action, labor disputes, power outages, or internet or service-provider outages.

16.8 Notices

Notices to us must be sent to support@plutopal.ai. Notices to you will be sent to the email address on your account and are deemed received on the date sent.

16.9 Modifications

We may modify these Legal Terms from time to time. Material changes will be announced via email to registered Users at least thirty (30) days before taking effect and will be reflected in an updated "Effective Date" at the top of this page. Your continued use of the Services after the Effective Date constitutes acceptance.

16.10 Survival

Provisions that by their nature should survive termination will survive, including Sections 5 (Privacy), 6 (User Content license), 7 (Seller obligations for pending transactions), 8 (Payment Processing), 11-14 (IP, Disclaimers, Liability, Indemnification), 15 (Arbitration), and 16 (General).

16.11 No third-party beneficiaries

These Legal Terms are for the benefit of you and us only. Except as expressly stated (Stripe as processor in Section 8), no third party has any right to enforce them.

16.12 Export controls

You agree to comply with all U.S. and applicable foreign export control and sanctions laws in your use of the Services.

16.13 Government users

The Services are "commercial items" as defined in FAR 2.101. Any use by U.S. Government end users is subject to these commercial terms.
